These Terms and Conditions ("Terms") are issued by DHRUVIKA GYMNESIUM MANAGEMENT SOFTWARE PRIVATE LIMITED and govern your use of Gym Management Software, our website, and related services, including WhatsApp, Facebook, and Instagram features. By accessing or using our services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use our services.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software for your gym or fitness business operations.

4.1 Subscription Fees

If you choose a subscription-based model, you agree to pay the applicable subscription fees as specified in your service agreement. Fees are billed in advance on a monthly, quarterly, or annual basis.

4.2 One-Time Purchase

For purchased codebase licenses, the full payment is required before delivery of the software and source code.

4.3 Refund Policy

We offer a 7-day money-back guarantee for new subscriptions. After this period, subscription fees are non-refundable. Purchased codebase licenses are non-refundable once the source code has been delivered.

5. Installation and Support

We provide installation support for standard setups, which typically takes 1-2 hours. For clients using our managed hosting, we provide full setup including configuration, database import, and SMTP/email setup.

6. Data Security and Backup

For clients using our managed hosting, we implement industry-standard security measures and perform regular backups. However, we strongly recommend that you maintain your own backup copies of your data.

For self-hosted installations, you are solely responsible for data security, backup, and disaster recovery.

7. Intellectual Property

The Software, including its source code, design, structure, and documentation, is owned by DHRUVIKA GYMNESIUM MANAGEMENT SOFTWARE PRIVATE LIMITED and is protected by copyright, trademark, and other intellectual property laws.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Software will be uninterrupted, error-free, or completely secure, though we make reasonable efforts to ensure quality and reliability.

10. Termination

By You: You may terminate your subscription at any time by providing written notice. Termination will be effective at the end of your current billing period.

By Us: We may terminate or suspend your access immediately if you breach these Terms or fail to pay applicable fees.

Upon termination, your right to use the Software ceases immediately. For managed hosting clients, we will provide you with a final backup of your data upon request within 30 days of termination.

11. Updates and Modifications

We may update the Software from time to time to add new features, fix bugs, or improve performance. For subscription clients, updates are included in your subscription. For purchased codebase clients, major version updates may require additional fees.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Software. Your continued use after such changes constitutes acceptance of the modified Terms.

12. Privacy

Our Privacy Policy describes the personal information we collect, how we use and share it, how long we keep it, and how a person can ask us to access, correct, or delete it. The Privacy Policy is part of these Terms.

For member records stored in the Software, the gym is responsible for having a lawful basis to collect and use that information. We process those records on the gym's instructions so the gym can run memberships, billing, attendance, and messages.

13. WhatsApp, Facebook, Instagram, and other Meta services

If you connect WhatsApp, Facebook, or Instagram to the Software, you also agree to Meta's terms, including the WhatsApp Business Policy and the Meta Platform Terms. Meta's privacy policy is at https://www.facebook.com/privacy/policy.

14. Data deletion

A person may request deletion of personal information we control by emailing info@gymsoftware.com with the subject "Data Deletion Request", or by following the steps in section 9 of the Privacy Policy. We will delete or anonymize that information within 30 days unless the law requires us to keep it. When a gym controls the member record, we will act on the gym's instruction.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of the Software shall be subject to the exclusive jurisdiction of the courts in Anand, Gujarat, India.
